Warren B. Kanders, our Executive Chairman, has served as one of our directors since June 2002 and as Executive Chairman of our Board of Directors since December 2002. Since 1990, Mr. Kanders has served as the President of Kanders & Company, Inc., a private investment firm principally owned and controlled by Mr. Kanders, which makes investments in and provides consulting services to public and private entities. From January 1996 until its sale to BAE Systems plc on July 31, 2007, Mr. Kanders served as the Chairman of the Board of Directors, and from April 2003 as the Chief Executive Officer, of Armor Holdings, Inc., formerly a New York Stock Exchange-listed company and a manufacturer and supplier of military vehicles, armored vehicles, and safety and survivability products and systems to the aerospace and defense, public safety, homeland security, and commercial markets.

Mr. Kanders received an A.B. degree in Economics from Brown University. Based upon Mr. Kanders’ role as Executive Chairman of the Company, service as a chairman and a director of a wide range of other public companies, financial background and education, as well as his extensive investment, capital raising, acquisition and operating expertise, the Company believes that Mr. Kanders has the requisite set of skills to serve as a Board member of the Company.

Michael J. Yates has served as Chief Financial Officer of Clarus since January 2022. Mr. Yates has nearly 35 years of financial management, executive leadership, accounting and M&A experience. He joined Clarus from IDEX Corporation (NYSE: IEX), a S&P 500 diversified engineered products company. At IDEX, he held multiple accounting and financial executive leadership positions, including serving as chief accounting officer, a role which he held from 2010 – 2021. Other positions Mr. Yates held at IDEX included interim CFO and corporate controller. Prior to IDEX, Mr. Yates worked at PricewaterhouseCoopers and KPMG. He is a certified public accountant and received his Bachelor of Science degree in accounting from Indiana University.

Neil Fiske has served as President of Black Diamond Equipment since February 2023. He previously worked at Marquee Brands, a leading brand accelerator with a portfolio of 13 brands. As a CEO for almost 20 years, he has extensive experience in the outdoor, active, and apparel categories. Prior to his tenure at Marquee brands, Mr. Fiske served as CEO of apparel and outdoor companies Billabong International, Eddie Bauer, and the Bath and Body works division of L Brands. Mr. Fiske received his BA from Williams College and MBA from Harvard University.

Mathew Hayward has served as Managing Director of Clarus’ Adventure segment since July 2023. Mr. Hayward has over 20 years of experience across brand architecture, brand and product strategy, channel development, GTM strategies, and global marketing operations. He joined Clarus from Laybuy, a fast-growing buy-now-pay-later provider with a presence in New Zealand, Australia, and the United Kingdom. At Laybuy, Mr. Hayward served as the Chief Marketing Officer, a position he previously held at Tattarang, R.M. Williams, and L Catteron. Mr. Hayward received his Bachelor of Commerce degree from the University of Otago.
